As has been mentioned, Dennis Carpenter has re-pop rear fenders for that fit the '38-40 or you can buy fiberglass replacements for about $250 each at a bunch of places. Places like Mac's have some patch panels for the bottom section, but if you can get new and can afford them why mess with patching unless you're an accomplished body guy and it sounds like you've not mastered those skills at this point.
